Once your LLC has gotten up and running, you can upgrade to the Pro plan from LegalZoom to add compliance assistance, business guidance and customizable legal forms. The company’s high-end Premium package comes with a 30-day subscription to its services offering legal advice, document reviews and one copyright registration per month.

A prime example of LegalZoom’s support for growing businesses is its three plans for forming and maintaining an LLC in Louisiana. Louisiana LLC Requirements

When you file your Louisiana LLC, it will go through the Louisiana Secretary of State, which has specific state laws and requirements you must follow:

  1. Choose a unique name for your LLC that is different from other businesses registered in the state. All businesses must include either L.L.C., L.C. or Limited Liability Company in their name.
  2. Appoint a registered agent to receive legal documents on behalf of your Louisiana LLC. It can be any citizen of the state residing in the state; a partnership or professional law corporation authorized to practice in the state; a domestic corporation or LLC in the state; or a foreign corporation authorized to act as a registered agent who has a certificate on file with the Louisiana Secretary of State. Any of which must have a physical location in the state.
  3. File the articles of organization, which includes information about your company such as its name, office address, purpose and registered agent details.
  4. File an annual report to remain “active” in Louisiana’s records, which confirms your information with the state. It needs to be filed within 30 days of the anniversary of your business registration every year. The fee for an annual report in Louisiana is $30.
  5. Submit a beneficial ownership information (BOI) report. All new businesses must file the BOI report with FinCEN. LLCs formed before 2024 have until January 1, 2025, to file. Those formed in 2024 have 90 days from registration. Starting January 1, 2025, new LLCs will have 30 days to file. This quick process takes about 20 minutes to complete, and you’ll need to provide information about the owners of the business.
  6. Finally, you might require specific business licenses or permits depending on the type of business you operate. Louisiana requires an application for a Louisiana revenue account number.

However, many businesses choose to do some of the formation work themselves and delegate specific aspects to a company that specializes in registering an LLC and ensuring that the business remains in good standing with the state.

We found great variation in the usability of LLC services’ websites. While several of the sites make it easy to find pricing and other information (these include ZenBusiness and Filenow), others seem to go out of their way to hide the final price you’ll pay for their services. For example, Active Filings doesn’t post the prices of its stand-alone LLC services on its site, and Inc Authority requires that you provide your business and contact information as part of the checkout process before you’re shown the prices for its services.

In addition to clear pricing information, the best LLC services explain the steps of the LLC formation process, the requirements of the Louisiana Secretary of State for filing your LLC application and the expected timeframe for receiving your LLC documents from the state. BetterLegal and Northwest Registered Agent offer extensive resources for Louisiana LLCs, while Inc Authority and Filenow provide little in the way of self-help tools.

The LLC members then inform creditors and resolve outstanding debt, notify tax agencies and pay required taxes and distribute remaining assets as stipulated in the operating agreement. The last step is to file an affidavit to dissolve limited liability company form with the Louisiana Secretary of State. There is no fee to do so.

 

To reinstate an LLC in Louisiana that was suspended by the Secretary of State, you file a missing annual report and pay the $30 fee and a $250 penalty to the Franchise Tax Board.
