This lets you avoid having to register as an LLC in the second (or third or fourth) state.

Pricing

Northwest Registered Agent’s plan is affordably priced at $39 (plus the $100 Oregon filing fee), especially considering all it includes. After the first free year of registered agent services, the price increases to $125 per year.

During our chat conversation, the agent informed us that the phone lines have been very busy recently, making it sound like live chat may be a better way to get support when needed.

Founded in 1998, Northwest Registered Agent has been around for longer than many other LLC services. However, despite its long tenure, the company does not have as many customer reviews as other services with a more limited operating period. Customer reviews on Google are overall positive, with the company earning an average rating of 4.7 stars with over 1,000 reviews.

Those on Trustpilot, on the other hand, are not as glowing. Here, Northwest Registered Agent has an average rating from nearly 100 reviews. The one-star ratings from almost 40% of reviewers on Trustpilot—citing issues with customer service, billing and questionable business practices—seem to have pulled the rating down quite a bit.

In addition to the business filing, you get an operating agreement, EIN and a banking resolution (this identifies who is permitted to access company bank accounts). A free business website or online store is also included. And BetterLegal’s compliance service handles all the paperwork required to maintain your company’s good standing with the state.

One nice extra we didn’t see commonly advertised elsewhere is the tax analysis feature. With your LLC formation package, you’re entitled to a business tax analysis with a virtual tax service. Since an LLC can be taxed as either a pass-through entity (profits and losses “pass through” the company and are declared on the business owner’s personal income tax forms) or a corporation, this tax advice may be useful.

While there are benefits, note that you’ll have to pay extra for registered agent services ($10 per month or $90 per year) with this provider. Given the already high price, that’s not ideal.

When it comes to pricing, BetterLegal stands out from the crowd—in a negative way. However, many of its extra services, such as tax preparation, trademarking, trust planning and business plans, are all paid extras that involve plenty of upselling and an unclear pricing structure.

There is very little pricing transparency with Inc Authority, as you’ll need to call them to order any services besides its free LLC formation. However, the free LLC offer does have plenty going for it, and the 24-hour internal processing time makes it an attractive option.

An LLC service is useful in assisting business owners in forming and managing their LLCs. They handle and streamline various legal processes including filing paperwork, monitoring compliance requirements and providing admin support, and they usually offer a centralized dashboard for business owners to manage various aspects of their company.

Legal requirements can vary by state, so these services can be particularly useful for multistate businesses that need to balance compliance needs across different regions of the country. Some offer incorporation services for free, so you only pay state fees to file your LLC, while others offer various extras and add-ons to make managing your business easier and simpler.

Oregon LLC Requirements

Two critical steps are required prior to filing the official paperwork with the Oregon Secretary of State to create your LLC:

  • Select a unique name. In addition to clearly representing the nature of your business, your LLC’s name has to be one-of-a-kind and within the parameters of Oregon regulations. For example, the name can’t be vulgar or misleading. The Oregon Secretary of State website provides the Oregon business search tool for confirming that your chosen business name is available.
  • Appoint a registered agent. A registered agent is a person or business entity authorized to receive legal and official correspondence from the state and other public and private parties. Oregon regulations allow the registered agent to be any individual who resides in the state and whose business office is identical to the registered office. Or, it can be a registered domestic or foreign business entity such as a corporation, limited liability company, professional corporation or nonprofit corporation authorized to transact business in the state whose business office is identical to the registered office. The registered agent must be available to receive official correspondence at the stated address during normal business hours.

Once you’ve confirmed the LLC’s name and chosen registered agent, you’re ready to file the articles of organization form with the Oregon Secretary of State. The filing fee is $100.

LLCs must also file an annual report with the Oregon Secretary of State within 90 days of the LLC’s formation and every two years thereafter. The fee for the initial and required periodic statement of information filings is $100.

Oregon does not require that LLCs have an operating agreement, but they can be helpful because they lay out the rules governing the LLC. These include the names of owners and managers, profit distribution and the process for resolving problems. A carefully crafted operating agreement is especially important for multi-member LLCs (ones with multiple owners) to anticipate and mitigate potential conflicts.

LLCs should also request an EIN from the IRS, even though single-member LLCs without employees or excise taxes aren’t required to have one. EINs are used to pay the entity’s income tax separately from the owners’ filing. They also allow businesses to access tax deductions that aren’t available when filing with a Social Security number, and they give the business more flexibility in hiring and determining the LLC’s structure.

After filing the articles of organization and other paperwork with the Oregon Secretary of State, the documents are reviewed by the office and, upon approval, the LLC becomes a legal business entity.

Finally, most Oregon LLCs are required to file a beneficial ownership information (BOI) report with the Financial Crimes Enforcement Network within their first 90 days of business. Beginning on January 1, 2025, this filing period will be reduced to 30 days.

For example, Active Filings doesn’t post the prices of its stand-alone LLC services on its site, and Inc Authority requires that you provide your business and contact information as part of the checkout process before you’re shown the prices for its services.

In addition to transparent pricing information, the best LLC services explain the steps of the LLC formation process, the requirements of the Oregon Secretary of State for filing your LLC application and the expected timeframe for receiving your LLC documents from the state.
